Terms governing use of our website and tuning services.

Acceptance of Terms

These Terms of Service govern your use of midgardind.com and any services provided by Midgard Industries.

By visiting our website, requesting a quote, submitting build information, placing an order, making a payment, sending an ECU or tune file, or using a calibration supplied by Midgard Industries, you agree to these Terms.

If you do not agree, do not place an order or use our services.

About Midgard Industries

Midgard Industries provides LS swap ECU programming, startup and base calibrations, HP Tuners services, Holley EFI tuning, ACES EFI tuning, remote tuning support, and related automotive calibration services.

Services may be provided locally in Longview, Texas, through remote communication, through tune-file delivery, or through mail-in ECU programming.

The exact scope, price, turnaround time, and included revisions depend on the package purchased or written quote accepted by the customer.

Orders and Service Acceptance

Submitting an order or payment does not guarantee that a particular ECU, vehicle, engine combination, or tuning request is compatible with the selected service.

Midgard Industries may review the information supplied before accepting or beginning an order. We may request additional information, photographs, part numbers, tune files, data logs, or other documentation.

We may refuse or cancel an order when:

  • The ECU or vehicle is not supported
  • Required build information is missing
  • The requested service cannot be performed safely or lawfully
  • The selected package does not match the combination
  • The ECU appears damaged, modified, locked, or otherwise unsuitable
  • The customer provides inaccurate or conflicting information
  • The order presents an unreasonable risk of damage or improper operation

If we cancel an order before programming begins, amounts paid for unperformed services will be refunded, less any nonrefundable payment-processing charges where permitted by law.

Pricing and Payment

Prices displayed on the website are in U.S. dollars and may change without notice.

The price shown at checkout applies only to the service package selected. Additional work may require a separate charge, including:

  • Unsupported or unusual operating systems
  • Segment swaps
  • Operating-system changes
  • Locked or previously modified ECUs
  • Additional tune revisions
  • Extensive diagnostic work
  • Replacement hardware
  • Expedited service
  • Additional return shipping
  • Changes requested after programming has begun

Payment may be processed through PayPal, Stripe, or another provider disclosed at checkout.

Midgard Industries does not directly store full payment-card numbers, banking credentials, or PayPal login information.

Payment must be completed before programming begins unless otherwise agreed in writing.

Customer-Supplied Information

The customer is responsible for providing complete and accurate information, including:

  • Engine year and displacement
  • ECU or PCM type and service number
  • Drive-by-cable or drive-by-wire configuration
  • Transmission type
  • Camshaft specifications
  • Injector part number and flow information
  • MAF and MAP sensor information
  • Fuel-system configuration
  • Fuel type
  • Tire size and rear gear ratio
  • Fan settings
  • Vehicle modifications
  • Current symptoms and intended use

Midgard Industries relies on the information supplied by the customer.

We are not responsible for poor operation, engine damage, transmission damage, ECU damage, or other losses caused by incorrect, incomplete, outdated, or misleading build information.

The customer must notify us before programming if any part of the combination changes.

Customer-Supplied ECU Condition

The customer represents that they own the ECU or have authorization from the owner to have it programmed.

Customer-supplied ECUs are used electronic components and may contain hidden defects, corrosion, damaged circuits, prior programming errors, locked calibrations, failed memory, damaged connectors, or other problems that are not visible before service begins.

Midgard Industries may photograph, inspect, identify, connect, read, erase, reprogram, bench-test, or otherwise handle the ECU as reasonably necessary to perform the purchased service.

Programming does not repair defective ECU hardware.

Midgard Industries does not guarantee that a customer-supplied ECU is functional before or after programming when failure results from an existing hardware defect, prior damage, corrosion, improper wiring, incorrect power or ground, reversed polarity, voltage spikes, water intrusion, or another condition outside our control.

Startup and Base-Tune Limitations

A startup or base calibration is intended to provide a reasonable starting point for the combination described by the customer.

It is not automatically a complete dyno tune, road tune, wideband-verified tune, emissions certification, or guarantee of final drivability.

A base tune may include settings such as:

  • VATS configuration
  • Engine displacement
  • Transmission type
  • Injector data
  • MAF or MAP configuration
  • Fan controls
  • Startup airflow
  • Idle airflow
  • Startup fueling
  • VE or MAF starting calibration
  • Power enrichment
  • Speedometer and gear settings
  • Applicable swap-related diagnostic settings

A base tune cannot correct:

  • Mechanical engine problems
  • Vacuum leaks
  • Incorrect cam timing
  • Low compression
  • Fuel-pressure problems
  • Incorrect injector data
  • Wiring faults
  • Bad grounds
  • Sensor failures
  • Exhaust leaks
  • Transmission failures
  • Incorrect parts
  • Installation errors
  • Incompatible hardware

Cammed, boosted, high-compression, unusual, or heavily modified combinations may require data logging, wideband oxygen-sensor information, additional revisions, dyno testing, or local tuning.

The customer is responsible for monitoring engine operation and stopping use if unsafe conditions, detonation, overheating, low oil pressure, abnormal air-fuel ratio, misfires, or other problems occur.

Custom and Remote Tuning

Custom or remote tuning is limited to the work described in the purchased package or accepted quote.

The customer is responsible for:

  • Using supported and properly functioning hardware
  • Installing and configuring required scanning equipment
  • Providing accurate data logs
  • Using a properly installed and calibrated wideband sensor when requested
  • Following logging and testing instructions
  • Operating the vehicle safely and legally
  • Not performing unsafe testing on public roads

Additional revisions, major hardware changes, or tuning performed after the original service period may require an additional fee.

A revision is intended to refine the same disclosed combination. Changing the camshaft, injectors, MAP sensor, MAF housing, intake, fuel type, transmission, converter, power adder, engine displacement, or other significant hardware may be treated as a new tuning service.

Turnaround Time

Typical turnaround for supported mail-in ECU programming is approximately 2–3 business days after the ECU and all required information are received.

Turnaround estimates are not guaranteed.

Delays may occur because of:

  • Missing or inaccurate build information
  • ECU incompatibility
  • Hardware problems
  • Locked or corrupted files
  • Payment issues
  • Shipping delays
  • High order volume
  • Equipment failure
  • Weather or events beyond our control

Expedited turnaround is available only when confirmed in writing.

Shipping and Packaging

Unless otherwise stated, the customer is responsible for shipping the ECU to Midgard Industries.

The customer must:

  • Package the ECU securely
  • Protect the connectors and case
  • Use adequate padding
  • Include the customer name and order number
  • Use a trackable shipping method
  • Purchase appropriate shipping insurance

Midgard Industries is not responsible for damage, loss, or delay occurring before the ECU is delivered to us.

Return shipping will be handled according to the selected order package. The customer is responsible for providing a complete and accurate return address.

If a returned package is refused, undeliverable, or sent to an incorrect address supplied by the customer, additional shipping charges may apply.

Customers should inspect returned property promptly and report visible shipping damage within three business days of delivery. Photographs of the package, label, packing material, and ECU may be required for a carrier claim.

Midgard Industries will reasonably assist with a shipping claim but does not guarantee that a carrier will approve or pay the claim.

Unclaimed or Abandoned Property

Customers must respond to requests concerning an ECU, unpaid balance, shipping address, or service decision.

If customer property remains unclaimed for more than 90 days after written notice is sent to the most recent email address or phone number provided, Midgard Industries may treat the property as abandoned to the extent permitted by Texas law.

Before disposing of or otherwise handling abandoned property, we may charge reasonable storage, return-shipping, administrative, or unpaid service costs.

Refund and Cancellation Policy

Orders may be canceled for a refund before programming or custom work begins.

Once ECU programming, tune-file editing, custom calibration work, diagnostic review, or other personalized service has started, the service charge is generally nonrefundable.

Custom digital files and completed programming services are not returnable simply because the customer changes plans, changes hardware, sells the vehicle, or no longer needs the service.

If Midgard Industries cannot complete an accepted order, we may provide one of the following:

  • A reasonable correction
  • A replacement file
  • Reprogramming of the same ECU
  • A partial refund
  • A full refund for the unperformed portion

The appropriate remedy will depend on the circumstances.

Shipping charges, expedited-service charges, completed diagnostic work, and third-party processing fees may be nonrefundable where permitted by law.

Corrections and Service Issues

The customer must notify Midgard Industries of a suspected programming error within 14 days of receiving the ECU or tune file.

The customer must provide enough information to evaluate the issue, which may include:

  • Current tune file
  • Data log
  • Wideband data
  • Diagnostic trouble codes
  • ECU service number
  • Photographs
  • Description of vehicle behavior
  • Confirmation of fuel pressure, wiring, sensor operation, and mechanical condition

Midgard Industries must be given a reasonable opportunity to review and correct a verified calibration error before the customer seeks a chargeback, outside repair, replacement, or other remedy.

This correction period does not cover hardware changes, inaccurate build information, installation problems, unrelated mechanical failures, or customer modifications made after delivery.

Chargebacks and Payment Disputes

Customers should contact Midgard Industries before filing a payment dispute or chargeback.

Filing a chargeback for a completed and properly delivered custom service without first allowing a reasonable opportunity to address the issue may be treated as a breach of these Terms.

We may provide the payment processor with order forms, customer communications, tune records, ECU photographs, shipment tracking, delivery confirmation, and other documentation relating to the transaction.

Emissions and Legal Use

Customers are responsible for complying with all federal, state, and local laws governing vehicle modifications, emissions systems, registration, inspection, racing, and public-road use.

Midgard Industries does not authorize unlawful emissions tampering or the use of noncompliant calibrations on pollution-controlled vehicles operated on public roads.

Any competition, off-road, or emissions-exempt service is offered only where lawful and only for vehicles that qualify for that use.

The customer represents that all information concerning intended vehicle use and emissions status is accurate.

Vehicle Operation and Safety

Automotive calibration involves inherent risks.

The customer is responsible for:

  • Confirming proper mechanical condition
  • Checking oil pressure, coolant temperature, fuel pressure, and air-fuel ratio
  • Ensuring the fuel system supports the intended power level
  • Verifying that brakes, tires, steering, drivetrain, and safety equipment are suitable
  • Operating the vehicle in a lawful and controlled environment
  • Stopping operation immediately when abnormal behavior occurs

Midgard Industries is not responsible for racing incidents, accidents, misuse, unsafe testing, excessive speed, driver error, or operation on an unsafe vehicle.

No Performance Guarantee

Estimated horsepower, torque, fuel economy, idle quality, drivability, track performance, or other results are not guaranteed.

Results vary based on:

  • Engine condition
  • Parts selection
  • Installation quality
  • Fuel quality
  • Weather
  • Elevation
  • Vehicle weight
  • Drivetrain losses
  • Sensor accuracy
  • Mechanical condition
  • Customer operation

A calibration that works correctly on one combination may not be appropriate for another.

Disclaimer of Warranties

To the fullest extent permitted by law, services, tune files, website content, and customer-supplied ECU programming are provided on an "as is" and "as available" basis.

Midgard Industries disclaims implied warranties of merchantability, fitness for a particular purpose, and noninfringement to the extent those warranties may legally be disclaimed.

Nothing in these Terms excludes warranties or rights that cannot legally be waived.

Limitation of Liability

To the fullest extent permitted by law, Midgard Industries will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including:

  • Engine or transmission damage
  • Lost profits
  • Lost use of a vehicle
  • Towing charges
  • Rental-vehicle expenses
  • Racing losses
  • Missed events
  • Labor charges
  • Diagnostic fees
  • Damage caused by improper installation or operation

Midgard Industries' total liability arising from a specific order will not exceed the amount paid directly to Midgard Industries for that order, except where a greater limitation is prohibited by law.

This limitation does not apply to liability that cannot legally be limited.

Indemnification

To the extent permitted by law, the customer agrees to defend, indemnify, and hold harmless Midgard Industries from claims, damages, losses, liabilities, and reasonable expenses arising from:

  • Inaccurate customer information
  • Unlawful vehicle use
  • Improper installation
  • Unsafe vehicle operation
  • Customer modifications made after delivery
  • Use of a calibration on a different vehicle or combination
  • Distribution or resale of a tune file without permission
  • Violation of these Terms

Calibration Files and Intellectual Property

Midgard Industries retains ownership of its tuning methods, templates, original tables, website content, graphics, branding, documentation, and other intellectual property.

The customer receives a limited license to use a delivered calibration only on the vehicle, ECU, or combination for which it was created.

Unless approved in writing, customers may not:

  • Resell a calibration
  • Distribute it publicly
  • Upload it to tune repositories
  • Represent it as their own work
  • Use it as a commercial tuning template
  • Apply it to unrelated vehicles

Customer-supplied tune files remain the customer's property, subject to the rights necessary for Midgard Industries to perform the requested service and retain reasonable service records.

Website Use

Customers may not:

  • Attempt unauthorized access
  • Interfere with website operation
  • Submit fraudulent orders
  • Upload malicious files
  • Scrape or copy protected content
  • Misuse contact forms
  • Impersonate another person
  • Use the website for unlawful activity

We may suspend or block access when misuse is suspected.

Privacy

Personal information is handled according to our Privacy Policy.

By placing an order, the customer authorizes Midgard Industries to collect and use order, vehicle, ECU, payment, communication, and shipping information as reasonably necessary to complete and support the service.

Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

To the extent permitted by law, any dispute relating to these Terms or services provided by Midgard Industries will be brought in a court of competent jurisdiction located in Gregg County, Texas.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

The unenforceable provision will be interpreted or modified only to the minimum extent necessary to make it enforceable where permitted by law.

No Waiver

Failure by Midgard Industries to enforce any provision of these Terms does not waive the right to enforce that provision later.

Changes to These Terms

We may update these Terms periodically.

Changes will be posted on this page with a revised "Last updated" date. The version in effect when an order is placed will generally govern that order unless the customer and Midgard Industries agree otherwise in writing.
